Introduction and Overview

Welcome to Wooduchoose Ltd ("Wooduchoose"), an online platform that connects buyers with suppliers of custom wood products and offers a range of additional services. Wooduchoose operates under various trading names to provide supplementary services, including web development, coding, SEO, sales and marketing, and artificial intelligence consultancy.

These Terms and Conditions apply to all websites, platforms, and services offered by Wooduchoose Ltd, including those operating under affiliated names and domains ("trading as" names) referencing Wooduchoose Ltd as the legal entity. By using any of these services, you agree to these Terms and Conditions in full.

Wooduchoose also hosts third-party advertisements, promotions, and affiliate programs on its websites. These promotions are for goods and services offered by independent third parties, with whom Wooduchoose may have direct arrangements or affiliations. Wooduchoose disclaims liability for the performance, quality, or accuracy of these third-party goods and services.

Definitions

  1. Buyer: The individual, business, or entity seeking to purchase custom wood products by placing an order or requesting a quote on the Wooduchoose platform.
  2. Supplier or Manufacturer: Any third-party business or entity approved by Wooduchoose to offer wood products for sale on the platform. These terms are used interchangeably and refer to the provider responsible for the creation and delivery of the ordered goods.
  3. Wooduchoose Ltd or Wooduchoose: The operator of the Wooduchoose platform, which facilitates connections and communication between buyers and suppliers. Wooduchoose may also act as the seller under certain transaction types, as outlined in these Terms and Conditions.
  4. Direct Supplier ConnectionConnection Service or [Supplier] Quote Acceptance: A method of purchase in which the Buyer is directly connected with the Supplier via the Wooduchoose platform to obtain quotes, communicate, and agree on the terms of purchase. Wooduchoose’s role is limited to facilitating initial contact, with no further involvement in the transaction after connection.
  5. Facilitated Purchase: A method of purchase in which Wooduchoose acts as the seller, coordinating the transaction and order fulfillment with the Supplier on behalf of the Buyer. In this method, Wooduchoose oversees the processing of orders and payments to the Supplier.
  6. Goods: The wood products or related items provided by the Supplier and offered for purchase on the Wooduchoose platform.
  7. Order: The formal request made by the Buyer to purchase goods from a Supplier, whether directly through the Connection Service or via Wooduchoose as a Facilitated Purchase.

Methods of Purchase

Wooduchoose offers two primary methods for purchasing goods through its platform: the Direct Supplier Connection and the Facilitated Purchase. Each method involves a different level of Wooduchoose involvement and distinct responsibilities for both Buyers and Suppliers. The following sections outline each method in detail. Sometimes the Buyer may recieve a 'mix' of quotes for the same job/offering, where suppliers have chosen to offer direct purchase (Direct Supplier Connection) or offered to sell via Wooduchoose (Facilitaed Purchase), each, individual supplier offering, clearing states the method of purchase and all subsequent steps flag the method in use.

Pricing:

Although the Woooduchoose makes every effort to ensure that published prices and quotes are as accurate as possible, Wooduchoose reserves the right to refuse the sale of mispriced or misquoted goods.

Where 'estimated prices' are shown these are strictly for guidance purposes only. These figures do not form any part of the sale/transaction process. It is only once fixed prices are obtained and a purchase is made that any terms and conditions regarding prices apply. It is recommended that the Buyer does not rely on any estimated prices as the final product(s) price may vary once the fixed prices are obtained. 

In the case of all products sold, unless the seller expressly provides otherwise the price payable by the Buyer for each delivery shall be the seller’s current price at the date of despatch.

The Wooduchoose reserves the right by giving notice to the Buyer at any time before delivery to increase the price of the product/products to reflect any increase in the cost to the seller which is due to any factor beyond the control of the seller.

As many of the prices shown are created in real time they are only valid at the time of creation. The prices may vary at any time due to the dynamic nature of the pricing method. The price is fixed and agreed once the Buyer places the order, although the Wooduchoose reserves the right to cancel and offer a full refund within 7 days if, for any reason, the order cannot be fulfilled by the Wooduchoose or the Supplier.

Direct Supplier Connection

The Direct Supplier Connection, also referred to as the Connection Service or [Supplier] Quote Acceptance, is a method by which Wooduchoose enables Buyers to connect directly with Suppliers. Through this service, Buyers can request and compare quotes, communicate with Suppliers regarding specifications, and ultimately decide on a suitable Supplier for their needs.

  1. Process: Buyers request quotes from Suppliers based on their requirements. Suppliers respond with quotes, and the Buyer may choose to accept a quote.
  2. Responsibilities: Once connected, the Buyer and Supplier are solely responsible for all aspects of the transaction, including negotiating terms, ensuring product quality, and fulfilling delivery. Wooduchoose has no further involvement after the initial connection and bears no liability for any issues arising from the transaction.
  3. Payment: Payments are made directly between the Buyer and Supplier. Wooduchoose does not process payments in this method and assumes no responsibility for payment disputes or financial transactions.
  4. Liability Disclaimer: Wooduchoose acts only as an introducer in the Direct Supplier Connection method. All risks, warranties, and responsibilities rest with the Buyer and Supplier after the initial connection.

Facilitated Purchase

The Facilitated Purchase method is where Wooduchoose acts as the intermediary seller, coordinating the order and purchase process between the Buyer and the Supplier. In this method, Wooduchoose is responsible for handling the transaction and order fulfillment with the Supplier on behalf of the Buyer.

  1. Process: Buyers select their products, confirm specifications, and complete their order through Wooduchoose. Wooduchoose then coordinates with the Supplier to manufacture and deliver the goods to the Buyer.
  2. Responsibilities: Wooduchoose oversees order processing and is responsible for ensuring the Supplier fulfills the order as specified. However, the Supplier remains responsible for the quality, manufacture of the goods, delivery and fulfillment.
  3. Payment: Payments are made directly to Wooduchoose, which manages the funds and coordinates payment to the Supplier. All payment terms outlined in the Payment Terms section apply.
  4. Liability Disclaimer: While Wooduchoose coordinates the order and delivery process, it is not responsible for product defects, quality, or fitness for purpose. These responsibilities remain with the Supplier, as detailed in the Responsibilities and Liabilities section.

Responsibilities and Liabilities

This section outlines the respective responsibilities of Wooduchoose, the Buyer, and the Supplier/Manufacturer across the different methods of purchase. It clarifies the extent of Wooduchoose's involvement and liability in each case to ensure transparency and limit potential misunderstandings or disputes.

Wooduchoose's Responsibilities

Wooduchoose serves as an online platform connecting Buyers with Suppliers of custom wood products and may act as an intermediary seller in certain transactions. The responsibilities of Wooduchoose vary depending on the method of purchase, as outlined below:

  1. Direct Supplier Connection: Wooduchoose’s role is limited to facilitating initial contact between the Buyer and Supplier. Wooduchoose is not responsible for verifying the quality, suitability, or compliance of the goods provided by the Supplier. All responsibilities for the transaction, communication, and fulfillment lie solely with the Buyer and Supplier once the connection is made.
  2. Facilitated Purchase: In this method, Wooduchoose manages the transaction and coordinates order fulfillment with the Supplier on behalf of the Buyer. Wooduchoose is responsible for processing the order and ensuring that the Supplier receives the Buyer’s specifications and delivery instructions. However, the Supplier remains solely responsible for product quality and adherence to specifications. Directly communication between buyer and seller is provided by Wooduchoose once the order has been placed. 
  3. Limitation of Liability: Wooduchoose does not accept liability for any direct, indirect, or consequential loss or damage arising from the use of goods supplied by Suppliers. Wooduchoose’s liability is limited to cases of direct fault in processing or managing an order under the Facilitated Purchase method, and only where such fault can be attributed directly to Wooduchoose’s actions.

Buyer’s Responsibilities

The Buyer is responsible for carefully assessing their needs, verifying product specifications, and conducting due diligence before entering into a transaction with a Supplier. Specific responsibilities include:

  1. Product Specifications: The Buyer must ensure that any product specifications provided to the Supplier are accurate and suitable for their intended use. It is the Buyer's responsibility to communicate specific requirements, including dimensions, materials, finishes, or other details, during the quoting or ordering process.
  2. Verification of Goods: Upon receiving goods, the Buyer is responsible for inspecting them to confirm that they meet the agreed specifications. Any issues must be communicated directly to the Supplier (in the case of a Direct Supplier Connection) or to Wooduchoose (in the case of a Facilitated Purchase) promptly after receipt (within 24 hours).
  3. Assumption of Risk: The Buyer assumes full responsibility for the choice and suitability of goods purchased through the platform, including any use or application of the goods, and accepts that Wooduchoose bears no liability for fitness for purpose.

Supplier/Manufacturer’s Responsibilities

Suppliers listed on the Wooduchoose platform are independent third parties responsible for the quality and fulfillment of goods ordered by Buyers. Supplier responsibilities include:

  1. Product Quality and Compliance: The Supplier is responsible for ensuring that all goods meet the specifications agreed upon with the Buyer and comply with relevant laws, safety standards, and industry practices.
  2. Order Fulfillment: The Supplier must manufacture and deliver the goods as per the terms agreed with the Buyer or Wooduchoose (in the case of a Facilitated Purchase). Timely delivery and adherence to specifications are expected for all orders.
  3. Handling of Disputes: For Direct Supplier Connections, the Supplier must address any issues, discrepancies, or disputes directly with the Buyer. For Facilitated Purchases, any issues must be coordinated with Wooduchoose if they pertain to the order’s processing or delivery.

Liability Disclaimer

Wooduchoose disclaims all liability for any loss, damage, or injury arising from the use or quality of goods provided by Suppliers, including but not limited to any claims related to defects, fitness for purpose, or non-compliance. Wooduchoose’s total liability in relation to Facilitated Purchases is strictly limited to the value of the order where Wooduchoose can be shown to be directly at fault. Under no circumstances will Wooduchoose be liable for any indirect or consequential losses.

Payment Terms

Payment terms and conditions vary depending on the method of purchase chosen by the Buyer. Below are the details for each method, including when payments are due, who processes them, and Wooduchoose's role in each transaction.

Facilitated Purchases

  1. Payment Processing: For Facilitated Purchases, Wooduchoose processes all payments directly. Buyers are required to make full payment to Wooduchoose at the time of order confirmation to initiate the manufacturing and fulfillment process.
  2. Accepted Payment Methods: Wooduchoose accepts payments through 1) A secure, third party gateway such as Stripe or similar allowing credit/debit card payments 2) BACS/bank transfer 3) PayPal, and other secure methods. Funds must be cleared before the order can be processed and commissioned with the Supplier. Please note the method of payments offered vary based on job type and value. These are clearly outlined at the quote stage or product page. 
  3. Cancellation Policy: As the products for sale by the Seller are bespoke the Seller is therefore exempt from the trading standards distance selling regulations. Therefore, once the Buyer places an order with the seller; 100% of the payment is required and no refund will be provided if the Buyer cancels the order. Unless cancellation is received and acknowledged during the same working day in which the order is placed. Notification can be, in person, via email, or SMS text message, or any other means will be accepted subject to confirmation in writing. The Seller reserves the right to levy a £30 charge to cover any subsequent administrative expenses.
  4. Returns policy: Wooduchoose and Buyer have the right to terminate any agreement for any reason, including the ending of services that are already underway. Should the Buyer choose to terminate the sales contract prior to receiving the goods, but after the same day cancellation period, full payment will be retained and non-refundable. However, the Seller will offer a refund (where possible) subject to charging a reasonable fee for the work already performed on the cancelled order, as well as a reasonable administration fee. Therefore, any remaining funds after this assessment will be refunded to the Buyer. As stated above; since the Seller's products are custom made to specification (bespoke), the distance selling regulations do not apply and refunds will only be provided post-delivery for goods that are deemed to be faulty, contrary to the Sale of Goods Act 1979. Should the Buyer wish to claim a refund based on the product being faulty, the Buyer must notify the Seller within 24 hours of receipt of goods and the product must be returned to the Seller or the Manufacturer (which is to be agreed at the time of notification of potential fault) within fourteen days of receipt for inspection by the Seller (or manufacturer), in the same condition and packaging as received by the buyer, if applicable. Should the product be deemed to be faulty by the Seller, dispatch of the replacement product or a refund within 28 days will be provided. The Seller is to refund shipping costs in such circumstances. In the occurrence of a failed or late delivery on a specified date or time advised by the Seller, the Seller is not liable for any direct loss, loss of business or profits (whether the loss of such profits was foreseeable or not, arose in the normal course of things or even if the Buyer had advised the Seller of the possibility of such potential loss). The Seller intends to maintain clear lines of communication with both Manufacturer and Buyer in attempt to eliminate such occurrences and ensure that no party incurs unforeseen expense or inconvenience.Liability for Payment Processing: Wooduchoose is responsible for ensuring secure payment processing for Facilitated Purchases and will manage the transaction in accordance with data protection and privacy laws. However, Wooduchoose shall not be liable for any delays or issues arising from payment processing networks beyond its control.

Direct Supplier Connection

  1. Direct Payment to Supplier: For Direct Supplier Connections, payment terms are agreed directly between the Buyer and the Supplier. Wooduchoose does not process or handle payments in this transaction method and is not responsible for any payment-related issues that arise between the Buyer and Supplier.
  2. Independent Agreements: The Buyer and Supplier are responsible for negotiating and agreeing upon payment terms, including payment amounts, schedules, and methods. Wooduchoose plays no role in these arrangements and will not be liable for any payment disputes or defaults.
  3. Disclaimers for Payment Disputes: Wooduchoose disclaims any liability for payment disputes, non-payment, or other financial issues occurring between the Buyer and Supplier under the Direct Supplier Connection method. All payment-related concerns must be resolved directly between the Buyer and Supplier.
  4. Cancelation Policy, Returns and all Term and Conditions: All terms regarding cancellations, returns, refunds, and other conditions are established solely by the Supplier. Wooduchoose has no influence over or responsibility for these terms, and the Buyer is advised to carefully review and agree upon such terms directly with the Supplier prior to proceeding with the transaction.

Wooduchoose reserves the right to adjust or modify its accepted payment methods for Facilitated Purchases, and will notify Buyers of any such changes in advance. Payment terms are subject to change, and Buyers are advised to review these terms periodically.

Delivery Terms and Fulfillment

Delivery terms differ based on the method of purchase. Below, we outline the delivery process and respective responsibilities for Facilitated Purchases and Direct Supplier Connections.

For Facilitated Purchases

Delivery general notes; The Buyer will select their preferred manufacturer at the time of quoting and or via the product page. Manufacturers use various methods of delivery; these include the use of its own vehicles and independent carrier services. In all cases the goods will be delivered to the nominated address specified at time of purchase (although some manufacturers will stipulate certain conditions and indicate their deliver methods at the time of quoting. These will need to be adhered to by the Buyer and failure to do so could result additional charges to the Buyer. It will be the responsibility of the Buyer to ensure that there is adequate labour when transferring goods unloaded from delivering vehicle. Such unloading will be kerbside only and Wooduchoose, manufacturer or third-party carrier will not be responsible for any further movement. Unless agreed or stipulated at the time between Buyer and Supplier.  

  1. Delivery Coordination: Wooduchoose relays the delivery infomation to the Supplier to ensure that goods are dispatched to the Buyer’s specified address. Wooduchoose facilities direct communication between Buyer and Supplier for delivery timelines.
  2. Delivery Timeline: Estimated delivery dates will be provided at the time of order. However, delivery times may vary due to factors beyond Wooduchoose's control, including Supplier delays, shipping issues, or other unforeseen circumstances. The Supplier will inform the Buyer of any changes and/or agree and coordinate delivery date as soon as possible.
  3. Buyer’s Responsibility: The Buyer must ensure they are available to receive the goods on the estimated delivery date. If the Buyer is unavailable, any additional delivery costs incurred due to re-delivery will be the Buyer's responsibility.
  4. Delivery Disclaimers: Wooduchoose disclaims liability for delays or losses that are outside its control. This includes delays caused by third-party shipping providers or unforeseen Supplier issues. In the event of non-delivery or defective goods, Wooduchoose will assist the Buyer in resolving issues with the Supplier but is not responsible for compensating the Buyer beyond the value of the order.

For Direct Supplier Connections

  1. Direct Delivery Arrangements: In the Direct Supplier Connection method, delivery terms and timelines are agreed upon directly between the Buyer and Supplier. Wooduchoose does not coordinate or oversee delivery in this method and bears no responsibility for delivery arrangements.
  2. Buyer and Supplier Responsibilities: The Buyer and Supplier are solely responsible for coordinating delivery, including agreeing on delivery dates, handling logistics, and managing any issues that arise. Any inquiries regarding delivery should be directed to the Supplier by the Buyer.
  3. Delivery Disclaimers: Wooduchoose disclaims all liability for delivery issues, delays, or non-delivery under the Direct Supplier Connection method. Any disputes or claims related to delivery must be resolved directly between the Buyer and Supplier.

Wooduchoose aims to facilitate clear communication between Buyers and Suppliers to ensure smooth transactions, but Buyers are advised to confirm all delivery arrangements, especially when using the Direct Supplier Connection method.

Disclaimers and Limitations of Liability

Wooduchoose operates as an intermediary platform that facilitates connections and transactions between Buyers and Suppliers of wood products. This section outlines the limitations of Wooduchoose's liability and provides disclaimers applicable to each purchase method.

Platform Liability

Wooduchoose makes no representations or warranties regarding the quality, suitability, or legality of goods provided by Suppliers. By using the Wooduchoose platform, Buyers and Suppliers acknowledge and agree to the following disclaimers:

  1. Indirect Transaction Disclaimer: Wooduchoose does not assume responsibility for any part of the transaction, quality of goods, or satisfaction of specifications for purchases made through the Direct Supplier Connection method. The Buyer and Supplier bear full responsibility for verifying goods, handling payments, and resolving any disputes.
  2. Limited Role as Facilitator: In the Facilitated Purchase method, Wooduchoose’s role is limited to coordinating order details with the Supplier based on Buyer specifications. Wooduchoose is not responsible for assessing the suitability or fitness for purpose of the goods, nor for any issues arising after delivery unless directly caused by Wooduchoose’s error in processing the order.
  3. No Warranty on Goods: Wooduchoose does not provide any warranty, express or implied, regarding the quality, performance, or fitness for purpose of any goods offered on the platform. Buyers must address any product quality concerns directly with the Supplier.

Exclusion of Liability for Indirect Transactions

For transactions made through the Direct Supplier Connection method, Wooduchoose bears no liability for any claims, losses, or damages resulting from the transaction. Specifically:

  1. No Liability for Non-Delivery or Defects: Wooduchoose disclaims liability for any non-delivery, defects, or quality issues in goods acquired through Direct Supplier Connections. All risks associated with such transactions lie solely with the Buyer and Supplier.
  2. Indemnity for Platform Use: Buyers and Suppliers agree to indemnify and hold Wooduchoose harmless from any claims, losses, or damages arising out of transactions or disputes conducted independently via the Direct Supplier Connection method.

Limitation of Liability for Facilitated Purchases

For Facilitated Purchases, Wooduchoose limits its liability as follows:

  1. Maximum Liability: In the event of any error, failure, or breach by Wooduchoose, our maximum liability will be capped at the total order value paid by the Buyer. Wooduchoose shall not be liable for any indirect, consequential, or incidental damages.
  2. No Liability for Supplier Errors: Wooduchoose is not liable for defects, delays, or non-compliance by the Supplier in fulfilling the order. The Supplier remains fully responsible for the quality, compliance, and delivery of the goods.

Wooduchoose’s liability is strictly limited to cases where it is directly responsible for an error or breach in processing an order under the Facilitated Purchase method. Buyers and Suppliers are advised to review these limitations and disclaimers thoroughly before using the platform.

Data Sharing and Privacy

Wooduchoose is committed to protecting the privacy and personal data of all users of its platform. This section explains how data is shared between parties and the measures Wooduchoose takes to safeguard user privacy. These terms cover data interactions across all Wooduchoose sites and services, including those offered under trading-as entities.

  1. Data Shared for Transactions: In both Direct Supplier Connections and Facilitated Purchases, certain information about the Buyer and Supplier may be shared to facilitate the transaction. This includes names, contact information, and other details necessary for the Supplier to fulfill the order. Data is handled in compliance with Wooduchoose’s privacy policy and the UK GDPR.
  2. Privacy in Additional Services: Data collected through other services offered by Wooduchoose’s trading names, including coding, SEO, web services, and AI consultancy, is used solely for service provision and improvement. Clients of these services consent to the handling of data as outlined in Wooduchoose’s privacy policy.
  3. Third-Party Promotions and Affiliates: Wooduchoose may collect and share data regarding user interactions with third-party advertisements, promotions, and affiliate links to support affiliate tracking and promotion performance. This data will be used only as necessary to manage these programs and will not be sold or shared with third parties unrelated to these affiliate arrangements.
  4. Payment Information: Wooduchoose uses third party, secure, payment gateways for faciliated purcahse methods, among other payment options. No credit or debit card information is retained by Wooduchoose.

General Conditions and Governing Law

These Terms and Conditions constitute the entire agreement between the Buyer, Supplier, and Wooduchoose regarding the use of the platform and all other services provided by Wooduchoose and its trading-as entities. They supersede all prior agreements, representations, and understandings.

  1. Applicability Across Services: These Terms and Conditions apply across all Wooduchoose-operated websites and services, including any trading-as entities offering SEO, coding, web development, AI consultancy, or other services. By accessing or using these services, users agree to be bound by these terms.
  2. Third-Party Goods and Services: Wooduchoose may advertise third-party goods and services or host affiliate programs on its websites. Wooduchoose is not responsible for the performance or quality of these third-party goods or services and disclaims all liability for any issues arising from user interaction with these third-party offerings.
  3. Governing Law: These Terms and Conditions are governed by and construed in accordance with the laws of England and Wales. Users of the Wooduchoose platform and services agree to submit to the exclusive jurisdiction of the courts of England and Wales in the event of any disputes arising from the use of the platform or these terms.

Amendments and Changes to Terms
